1. Agreement to Terms

Welcome to Urban Design Studio ("Company," "we," "our," "us"). These Terms and Conditions ("Terms") govern your access to and use of our website located at your-domain.com (the "Website") and all related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access our Services.

2. Definitions

• "Client" or "You" refers to the individual or entity accessing our Services.
• "Content" means text, images, graphics, designs, audio, video, and other materials available through our Services.
• "Services" includes all design, consulting, and digital services provided by Urban Design Studio.
• "Project" refers to any work commissioned by the Client and undertaken by the Company.

3. Services Provided

Urban Design Studio provides professional design services including but not limited to:

• Architectural and interior design consultation
• Urban planning and development services
• 3D visualization and rendering
• Project management and coordination
• Design documentation and technical drawings

Specific services will be detailed in individual project agreements or proposals. We reserve the right to modify or discontinue any service at any time without notice.

4. User Obligations and Conduct

When using our Services, you agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of any account credentials
• Notify us immediately of any unauthorized access
• Use the Services only for lawful purposes
• Respect all applicable laws and regulations
• Not interfere with or disrupt the Services or servers

5. Prohibited Uses

You agree not to use our Services to:

• Violate any local, national, or international law or regulation
• Transmit any harmful, threatening, abusive, or defamatory content
• Infringe upon intellectual property rights of others
• Upload viruses, malware, or any malicious code
• Attempt to gain unauthorized access to our systems
• Engage in any automated use of the system without our consent
• Impersonate any person or entity or misrepresent your affiliation
• Collect or harvest personal information of other users
• Use the Services for any commercial solicitation purposes
• Engage in any activity that disrupts or interferes with the Services

6. Intellectual Property Rights

6.1 Our Property

All Content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, digital downloads, data compilations, and software, are the exclusive property of Urban Design Studio or its licensors and are protected by Czech Republic and international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal or business purposes in accordance with these Terms. This license does not include the right to:

• Reproduce, distribute, or create derivative works
• Reverse engineer or decompile any aspect of the Services
• Use the Services for competitive purposes
• Remove any copyright or proprietary notices

6.3 Project Deliverables

Upon full payment for services rendered, the Client receives ownership rights to the final project deliverables as specified in the project agreement. However, Urban Design Studio retains the right to use project materials for portfolio, marketing, and promotional purposes unless otherwise agreed in writing.

6.4 Client Materials

Clients retain ownership of any materials, information, or content provided to us for project purposes. By providing such materials, you grant us a non-exclusive license to use them solely for completing the contracted Services.

7. Payment Terms

7.1 Fees and Pricing

Service fees will be outlined in individual project proposals or agreements. All prices are in Czech Koruna (CZK) or Euro (EUR) unless otherwise stated and exclude applicable taxes.

7.2 Payment Schedule

Payment terms typically include:

• Initial deposit (usually 30-50%) upon project commencement
• Progress payments at agreed milestones
• Final payment upon project completion

7.3 Late Payment

Late payments may incur interest charges at a rate of 0.05% per day or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend Services for accounts with overdue payments.

7.4 Refunds

Refund policies will be specified in individual project agreements. Generally, deposits are non-refundable once work has commenced. Refunds for completed work are provided at our sole discretion.

8. Project Timeline and Delays

Project timelines are estimates and may be affected by factors including:

• Timely receipt of Client materials and feedback
• Scope changes or additional requests
• Circumstances beyond our reasonable control

We will make reasonable efforts to meet agreed deadlines but are not liable for delays caused by Client actions, third parties, or force majeure events.

9. Revisions and Scope Changes

Project proposals typically include a specified number of revision rounds. Additional revisions or changes to project scope may incur additional fees. All scope changes must be approved in writing by both parties with updated pricing and timeline estimates.

10. Warranties and Disclaimers

10.1 Professional Standards

We warrant that Services will be performed in a professional manner consistent with industry standards. However, design is subjective, and we do not guarantee that deliverables will meet your specific expectations beyond the agreed project requirements.

10.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from use of the Services will be accurate or reliable
• Any errors in the Services will be corrected
• The Services will meet all your requirements

11. Limitation of Liability

11.1 General Limitations

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL URBAN DESIGN STUDIO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content

11.2 Maximum Liability

Our total liability for any claims under these Terms, whether in contract, tort, or otherwise, shall not exceed the amount paid by you to Urban Design Studio for the specific Services giving rise to the claim during the twelve (12) months preceding the claim, or 10,000 CZK, whichever is greater.

11.3 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Urban Design Studio and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Services
• Your violation of any rights of another party
• Materials or information you provide to us
• Any wilful misconduct by you

13. Third-Party Services and Links

Our Services may contain links to third-party websites or services that are not owned or controlled by Urban Design Studio. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with the use of any third-party content, goods, or services.

14. Privacy and Data Protection

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We comply with the General Data Protection Regulation (GDPR) and applicable Czech Republic data protection laws.

By using our Services, you consent to the collection, use, and sharing of your information as described in our Privacy Policy.

15. Confidentiality

Both parties agree to maintain confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This obligation survives termination of the Services.

Confidential information does not include information that:

• Is or becomes publicly available without breach of this agreement
• Was known prior to disclosure
• Is independently developed
• Is rightfully obtained from a third party

16. Termination

16.1 Termination by Either Party

Either party may terminate an ongoing project by providing written notice. Upon termination:

• Client shall pay for all work completed up to the termination date
• Urban Design Studio shall deliver all completed work
• Any advance payments for incomplete work may be refunded at our discretion

16.2 Termination for Breach

We may terminate or suspend your access to Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

16.3 Effect of Termination

Upon termination:

• Your right to use the Services will immediately cease
• All provisions which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability

17. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

18. Governing Law and Jurisdiction

18.1 Applicable Law

These Terms shall be governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions.

18.2 Jurisdiction

You agree that any legal action or proceeding between you and Urban Design Studio for any purpose concerning these Terms or the parties' obligations hereunder shall be brought exclusively in the courts of competent jurisdiction sitting in the Czech Republic.

18.3 Waiver of Jury Trial

To the extent permitted by law, both parties waive any right to a jury trial in any proceeding arising out of or related to these Terms.

19. Dispute Resolution

19.1 Informal Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the breach thereof, the parties agree to first attempt to resolve the matter through good-faith negotiations for a period of thirty (30) days.

19.2 Mediation

If the dispute cannot be resolved through negotiation, the parties agree to attempt to resolve it through mediation before a mutually acceptable mediator in the Czech Republic.

19.3 Arbitration

If mediation fails, either party may submit the dispute to binding arbitration in accordance with the rules of the Arbitration Court attached to the Czech Chamber of Commerce and the Agricultural Chamber of the Czech Republic.

19.4 Costs

Each party shall bear its own costs for negotiation and mediation. Arbitration costs shall be borne as determined by the arbitrator.

20. Modifications to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending notification via email for registered users

Your continued use of the Services after any changes constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.

21. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

22. Waiver

No waiver by Urban Design Studio of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

23. Entire Agreement

These Terms, together with our Privacy Policy and any project-specific agreements, constitute the entire agreement between you and Urban Design Studio regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

24. Assignment

You may not assign or transfer these Terms or any rights granted hereunder, by operation of law or otherwise, without our prior written consent. We may assign these Terms or any rights hereunder without your consent. Any attempted transfer or assignment in violation hereof shall be null and void.

25. Language

These Terms are provided in English. In the event of any conflict between the English version and any translation, the English version shall prevail to the extent permitted by applicable law.
